1. GENERAL INFORMATIONS

Any customer order could be placed to Spare by the conventional means (eg. by its own customer order form faxed over to us), or by any formal e-mail (in this case, full customer's company datas, including VAT number, invoicing and shipping addresses, etc. shall be adviced).   As alternative and limiting to our product range not requiring for any technical definition on customer's application, any  potential customers can enjoy our ordering service called "on line", where any order will be originated directly by web facility (e-mail), or by fax transmission (after printing and filling of our downloadable order form).

Keeping in consideration several specific needs reported by our existing and consolidated customers, as also with fully compliance to existing privacy rules and laws (our "on line" sales service do not ask for the expensive and complex 'sensible' data management tipically required by credit cards purchasing handling), we wish to offer our service to whom it may ask for a prompt, safe, easy and autonomous purchasing, not requiring for any credit card use.  Order payments can be safely actuated by conventional means like swift bank to bank wire transfer (or cheque), that will be performed toward our pro-forma invoice.

Purchasing performed by above procedure will be less expensive for both sides. Consequently, products that can be subjected to "on line" sales service will be highlighted on their Product Data Sheet webpage by below animated tag:

By above hyperlink (look at present page header - "order form"), any potential customer can download our  order form required to perform any purchasing.  It shall be later filled on each part of it (all data fields) and either returned to us by fax after printing (++39-0383-54.50.51), or as attachment to any customer e-mail message (mail it to buyonline@spare.it). Hand filling of any printed and faxed order can be accepted only if clearly readable.

To download the order form, position your mouse over any of its hyperlinks and click on right button. When the window opens, choose for save the object within any path of your hard disk. Later you can resume, edit and print it at your commodity. As an alternative you can click on right button and follow the instructions supplied by your web browser.

In place of our order form , customer can use its own order form. In any case, to process it correctly, customer own order form shall be filled with all basic required informations, similarly to the same datas required by our order form, that could be used as a guideline. Without required datas no order will be processed. 
 

3. GENERAL CONDITION OF SALES FOR "ON LINE" PURCHASING

A)  PRICES, PAYMENT TERMS AND DISCOUNT
All prices shown on our website are not inclusive of VAT taxation (IVA in Italy).  Since some of products are manufactured outside European country, some prices have been calculated on each specific currency ratio shown on each price table. Spare reserv its right to review prices if the currency ratio will be significantly different from the one shown on price table (tipically when more than ± 2% fluctuations have been). Due to any customer order, Spare will issue a written order confirmation (acknowledgement), where delivery and final prices will be confirmed.  Payments for products capable to be purchased by "on line" service can be performed by one of the following methods:
-  swift bank to bank payment  -   (10% discount on web prices)
-  cheque in name of: Spare s.a.s.  -   (5% discount on web prices)
Bank to bank payment wire transfert fees (to our bank side), are fully included by web pricing. Goods (and the final invoice) will be released when money on our account.
Any cheque shall be mailed to us at full customer risk and responsability. Goods (and final invoice) will be released when cheque will be verified by our bank officiers.

B)  SHIPMENT CHARGES AND PACKAGE
Products subjected to "on line" purchasing phormula are supplied within their standard FOC carton package, suitable for road travel.  Particular or specific packaging (eg. wood made, etc.), will require prior agreement with Spare about involved charges that will be forecasted to final customer. All goods are FOB our site in Varzi (PV) - Italia.  All trasportation charges and insurance (CIF) are always to be charged to customer, as all of our web prices do not include any shipping charge. Consequently, customer can provide for trasportation by its preferred courier (to be adviced in written, quoting also any customer account number) or alternatively, we can quote and offer a prepaid trasportation service by one of the following: UPS, DHL or Fedex 24/48 hours service, with related amount charge on our pro-forma invoice.
Even when traportation is arranged by Spare as prepaid service (and if not differently required in written by customer), all shipments are arranged without any insurance, as this will remain only as a customer responsability. In any case, all trasportation risks are at customer responsability. 

C)  CUSTOMER ORDER ACCEPTANCE (ACKNOWLEDGEMENT)
Our order form (or any customer order form) shall be completed by all required informations (eg. VAT, shipping address, invoicing address, etc.). Spare reserve its right to withdraw from any contractual duty or obligation, considering void and/or not binding any order that will not be completed as required and /or not readable, and/or with not accurate, wrong and/or false informations.  Orders received by e-mails without any customer entrusted officer sign (and company stamp), will be accepted and processed only at Spare discretion and judment and it can be submitted to a further verifications with customer.   Orders properly issued as required, will meet Spare confirmation within 5 days from order receipt date. (order acknowledgement will include goods delivery time).

D)  DELIVERY TIME
When goods are not already as "off the shelf" in our stock (as usual), product offered under "on line" service are tipically made available within 15 days from order receipt date(*) (most cases are satisfied from 7 up to 10 max working days or earlier). Urgent deliveries can be arranged but with prior written agreement with spare (for these situations customers are required to write their needs within the order form, or by the fax or e-mail accompany the order form.
For the cases where Spare will not meet above mentioned deliveries (excluding cases of force majeure), customer can withdraw its order and void the purchasing. Order cancellation due to missed delivery terms shall be forwarder in written to Spare in order to have effect. In absence of mentioned written order cancellation Spare will assume that the newest adviced delivery terms are fully accepted by customer.
(*) These are stanadard terms and can not be applicable over august and december months,during related season holidays.

E)  UNEXPECTED DELAY (FORCE MAJEURE)
Unforeseen or unexpected delay of delivery (force majeure) does not entitle the purchaser to claim for any compensation or to cancel an order. In any case, Spare will offer its best efforts with the aim to solve immediately any delay, offering at least an immediate customer advice of occured delay.

F)  PRIVACY AND DATA MANAGEMENT
Data quoted by any customer filled order form will be used and managed by Spare with care and in fully compliance with existing privacy applicable rules and laws originated by the italian government. To whom it may require for it, Spare make available a copy of mentioned rules, quoting also the data owner rights (privacy italian law n° 675 of 1996).

G)  WRONG PRICES
In case of wrong prices quoted by customer on order form, prices on Spare website will be considered as the sole valid. Customer wil be anyway adviced of such errors.
On the other hand, and even considering that Spare spend its best effort to keep its website updated and accurate as well, Spare cannot ensure its website as errors free, and consequently cannot made responsible and liable.  For the very rare situation where prices on Spare website would be ensured as wrong, the correct price will be adviced ASAP to customer, that will have the full rights to withdraw from its purchasing, voiding its order, if the newest and/or correct price will be considered as not acceptable.

J)  NOT AVAILABLE PRODUCTS
If at the time of any customer order will not be available the product shown on Spare website, Spare reserve its rights to replace the product with other for similar or better features and quality (not worst), offering to customer the possibility to withdraw from its purchasing, voiding its order, if the replacing product will not be considered as acceptable.

K)  WARRANTY
Spare's products (goods) carry at least 12 months warranty (if more than 1 year warranty, this is clearly quoted on the product webpage). For any faulted and returned item Spare reserves its rights to decide whether the damage was caused by faulty materials, through normal wear, or due mishandling, or customer misuse. Where necessary faulty devices will be returned by Spare to manufacturer for more accurate inspections.  If damaged item will be recognized under warranty conditions, it will be replaced or repaired FOC (with the exception of all trasportation charges that will be paid by the item owner). All not in warranty situations will required that costs of repair or replacement and shipment are to be paid in full by the owner. These will be adviced by Spare to customer prior to proceed with any repair or replacement.

L)  FURTHER GENERAL ADVICES
Products remain to Spare own property until the related invoice has been paid in full.
Any complaints must be addressed to Spare in writing within 10 days of receipt of products. In no case any pending complaints do not justify delay of payment.
Brand and trademarks shown on Spare website are registered by the related owners. All the logos drawings and images shown on Spare website are protected by existing copyright laws, and consequenlty, not authorized copies or reproduction are completely forbidden.
Visitors of Spare website accept to be submitted to italian laws. Legal Spare's domicile is Milan, Italy.  Italian laws are the sole applicable.
